Graymark Healthcare and Foundation Healthcare to Combine

OKLAHOMA CITY, OK, May 15, 2012 (MARKETWIRE via COMTEX)—Graymark Healthcare, Inc., the nation's second largest provider of diagnostic sleep services and an innovator in comprehensive care for obstructive sleep apnea, has signed a non-binding letter of intent to combine with Foundation Surgery Affiliates, LLC and Foundation Surgical Hospital Affiliates, LLC, together known as Foundation Healthcare, in an all-stock transaction valued at $1.10 per common share. The aggregate transaction value is approximately $52.5 million.

Foundation has equity interests in and manages 21 outpatient surgery centers and surgical hospitals in seven states. In 2011, Foundation generated approximately $44 million in revenues and on a pro forma basis, Graymark and Foundation would have produced more than $62 million in revenues and employed over 1,000 employees.

04/04/11 - Foundation will be attending and exhibiting at the Ambulatory Surgery Center Association’s ASCs 2011 Conference in Orlando May 11-14. For more information about how FSA can assist your ASC, please stop by booth #1028.
